Please read these Terms of Service carefully before using any service provided by NexGen Informatics. By subscribing to or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By subscribing to or using any service provided by NexGen Informatics, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our services.

2. Service Description

NexGen Informatics provides IT consulting, software development, and AI-powered voice answering and lead capture services for home-service contractors including HVAC, plumbing, water restoration, and related trades.

Our AI voice agent system answers missed calls on behalf of contractor clients, qualifies the caller, captures lead information, and delivers that information via SMS notification and CRM integration to the contractor.

3. SMS Communications

Contractor clients who subscribe to our services consent to receive automated SMS notifications containing lead and caller information captured by our AI voice system. This consent is documented at the time of service agreement signing.

Opt-out: Reply STOP to any SMS message to unsubscribe immediately.

Help: Reply HELP to any SMS message for assistance.

Frequency: Varies based on incoming call volume.

Rates: Standard message and data rates may apply.

We do not send unsolicited SMS messages. All SMS recipients are contractor clients who have explicitly opted in through a signed service agreement.

4. Subscription and Billing

Services are billed on a monthly recurring basis through our secure payment processor. Subscriptions automatically renew each month unless cancelled.

To cancel, provide written notice at least 30 days before your next billing date by emailing wasim@nexgeninformatics.com.

Refunds are not provided for partial months of service or for unused portions of a billing period. Failed payments will result in service suspension after a grace period. Service is restored automatically upon successful payment.

5. Service Availability

NexGen Informatics targets 99.5% monthly uptime but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.

NexGen Informatics is not liable for missed calls, lost leads, or revenue loss during outages caused by third-party service providers, carrier networks, internet disruptions, or force majeure events.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate business information during onboarding
  • Setting up call forwarding as instructed by NexGen Informatics
  • Keeping payment information current to avoid service interruption
  • Notifying us promptly of changes to their CRM or phone system
  • Ensuring they have authorization to forward calls from their business line

7. Acceptable Use

You agree not to use our services to:

  • Conduct any unlawful activity or violate applicable laws
  • Send unsolicited communications to any party
  • Interfere with or disrupt the integrity of our systems
  • Attempt to gain unauthorized access to any part of our infrastructure

8. Intellectual Property

All software, AI models, triage scripts, and systems provided by NexGen Informatics remain the intellectual property of NexGen Informatics. Clients receive a limited, non-exclusive license to use the service during their active subscription period.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the service relationship. This obligation survives termination of the service agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NexGen Informatics total liability for any claim arising from these terms or our services is limited to the total amount paid by the client in the one-month period preceding the claim.

NexGen Informatics is not liable for indirect, incidental, consequential, or punitive damages of any kind, including but not limited to lost revenue, lost jobs, or business interruption.

11. Indemnification

You agree to indemnify and hold harmless NexGen Informatics from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any applicable law.

12. Termination

NexGen Informatics may terminate or suspend service immediately for non-payment, misuse, or material violation of these terms. Clients may cancel at any time with 30 days written notice as described in Section 4.

Upon termination, your data will be retained for 30 days during which you may request an export, after which it will be deleted.

13. Changes to Terms

We may update these Terms of Service at any time. We will provide at least 30 days notice via email before material changes take effect. Continued use of our services after that date constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dallas County, Texas.
